Terms of Service & B2B SaaS Agreement

These Terms of Service (”Terms” or “Agreement”) constitute a legally binding contract between you (the "Customer", "User", or entity you represent) and PryMap (”we,” “us,” or “our”).

By accessing, registering for, or using the PryMap platform, rendering engine, and associated services (collectively, the “Services”), you expressly agree to be bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from accessing or using the Services.

PryMap is exclusively a Business-to-Business (B2B) platform. By using the Services, you represent and warrant that you are utilizing the Services on behalf of a legitimate business, laboratory, or corporate entity, and not as an individual consumer.

1. Account Security and Authorization

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify PryMap of any unauthorized use of your account or any other breach of security. PryMap will not be liable for any loss or damage arising from your failure to comply with this security obligation.

2. Acceptable Use and Prohibited Conduct

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes. You explicitly agree that you shall not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, rendering logic, coordinate math, or underlying structures of the Services;
  • Copy, modify, duplicate, or create derivative works of the UI layout, "look and feel," or data visualization methodologies of PryMap;
  • Use automated scripts, bots, scrapers, or web crawlers to access, scrape, or extract data, code, or output formats from the Services;
  • Use the Services, including its visual outputs (SVGs, PNGs), to train, fine-tune, or develop any artificial intelligence (AI), machine learning models, or competing software platforms;
  • Remove, alter, or obscure any proprietary notices, watermarks, or metadata embedded within the exported reports or interfaces.

Violation of these prohibitions constitutes a material breach of this Agreement and will result in immediate termination of your account and potential legal action.

3. Intellectual Property Rights

PryMap's Property: All right, title, and interest in the Services, including but not limited to the codebase, rendering algorithms, graphical user interface, logos, trade secrets, and system architecture, remain the exclusive property of PryMap.

Your Property: You retain 100% ownership of the raw data, component layouts, and specific failure analysis configurations you input into the Services. You grant PryMap a limited, worldwide, royalty-free license to host, process, and transmit this data solely to operate and provide the Services to you.

4. Engineering Disclaimer & High-Risk Use

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

PryMap provides software to visually represent Failure Analysis (FA) data based entirely on user inputs. You explicitly acknowledge and agree that:

  • No Verification: PryMap does not verify the accuracy of your physical dye penetrations, measurements, or testing methodologies.
  • Sole Responsibility: You assume full professional and legal responsibility for the interpretation of the exported maps and any subsequent manufacturing, quality assurance, or hardware remediation decisions.
  • High-Risk Activities: The Services are not fail-safe. PryMap shall not be liable for any damages resulting from scrapped hardware, false analytical positives/negatives, rejected RMAs, or bodily injury/property damage arising from engineering decisions made using our outputs.
  • Compliance: While designed with industry standards in mind (such as IPC guidelines), PryMap makes no legal guarantee that the software's outputs automatically satisfy third-party auditing or regulatory compliance requirements.

5. Data Loss and Backups

While PryMap implements routine backups and secure database architecture, we do not guarantee that your data will not be subject to inadvertent damage, corruption, or loss. You are solely responsible for backing up your data and exported maps. PryMap shall have no liability for any loss of data, projects, or failure distribution maps.

6. Third-Party Sub-Processors

To provide scalable infrastructure, PryMap utilizes industry-standard third-party service providers (sub-processors) for functions such as authentication and database hosting. By using our Services, you consent to the processing of your data by these entities strictly in accordance with our Privacy Policy. We do not sell your data.

7. Fees, Renewals, and Termination

Payments: Subscription fees are billed in advance on a recurring basis. All fees are exclusive of applicable taxes, which you are responsible for paying.

No Refunds: Due to the digital B2B nature of the software, all payments are non-refundable unless expressly required by applicable law.

Termination: PryMap reserves the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PryMap, its directors, employees, partners, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, hardware damage, manufacturing losses, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

In no event shall PryMap's aggregate liability for all claims relating to the Services exceed the total amount paid by you to PryMap during the twelve (12) months immediately preceding the event giving rise to the liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless PryMap and its licensees, licensors, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Services, or your violation of any term of these Terms.

10. Force Majeure

PryMap shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to labor disputes, strikes, lockouts, shortages of or inability to obtain energy, raw materials or supplies, denial of service or other malicious cyber-attacks, telecommunications failure or degradation, pandemics, epidemics, public health emergencies, governmental action, and acts of God.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Kedah, Malaysia, to resolve any legal matter arising from these Terms.
